Anything you do will reduce the quality of the songs. The mp3 file format is "lossy" - which means it tries to determine what information in the sound of the music is least significant and discards that information. As you make the files smaller more information is discarded and quality gets worse.
If you really want to do this, I strongly recommend you get the original uncompressed music and re-encode into the smaller mp3 files rather than try to convert. That way you will be compressing only once instead of twice. I would also not compress any smaller than 64 kbps.

So far all I can think of is itunes(at least to me I couldn't tell the difference, I'd change it and it sounded exactly the same). I would normally recommend the ACE-HIGH MP3 WAV WMA OGG Converter but when you change the bit rate I think it actually works whereas with other programs you can have a 128 bit rate song, change it to 320 and it does nothing.
well the quality will go down a whole lot no matter what :( I wouldn't get an mp3 player that can't hold as many songs as you have.
convert the mp3 and make it reformat into a smaller kbps or something like that intead of having 320kbps convert to 128 kbps
